The Securities and Business Investments Division has administrative jurisdiction relating to Connecticut's securities, business opportunity and tender offer laws. The Division's objective is to protect Connecticut investors while simultaneously recognizing the legitimate needs of businesses that raise capital through securities offerings.
The Division is organized into four sections:

The Securities Registration section reviews and processes applications for securities, business opportunities and tender offer registration. |

The Broker-Dealer and Investment Adviser Registration section reviews and processes applications for the licensing of broker-dealers, broker-dealer agents, investment advisers, investment adviser agents and agents of issuer wishing to transact business in Connecticut. |

The Examination section is responsible for conducting examinations of Connecticut-registered broker-dealers, investment advisers and their branch offices. |

The Enforcement section is charged with investigating individuals or entities alleged to have violated the Connecticut Uniform Securities Act or the Connecticut Business Opportunity Investment Act. The Division's quarterly Securities Bulletin highlights regulatory developments and enforcement activity and provides a statistical summary of registration, licensing and other activity. Securities division activity is also highlighted on the department's weekly News Bulletin.
The Securities and Business Investments Division receives advice and recommendations from an Advisory Council regarding its administration of Connecticut's securities laws, the promulgation and amendment of related agency regulations and policies; and agency sponsored investor education activities.

Investigate Before You Invest!
Check first with the Securities Division to find whether a securities professional or firm is licensed to do business in Connecticut. The Division can also provide information on an individual's employment and disciplinary history and on the types of securities an individual is qualified to sell. You can also call FINRA toll-free at 800-289-9999 to find out if agents or firms have disciplinary histories with securities regulators or criminal authorities.
Almost all investment opportunities must be registered in the state where they are sold. You can research a potential investment by contacting the Securities Division. Although we can't make your investment decision for you, we can tell you whether or not particular securities are registered with the Division.
Submitting a Complaint
If you believe you have been subject to improper business conduct or fraud by a broker-dealer, investment adviser or any individual or entity when a security or business opportunity is involved, please contact the Department of Banking. The investigation of investor complaints represents an important part of the department's enforcement program and your complaint will be thoroughly reviewed.
